CLIENT
Hospitality Worldwide Services, Inc. provides goods and services to the globalhospitality industry. The Company services such customers as Hyatt, MarriottInternational, Hilton, Ritz Carlton, Four Seasons, Wyndham and Sun International.Hospitality Worldwide Services is traded on the American Stock Exchange (symbol: HWS)and is dedicated to providing premier services to the hospitality industry. HWS revenuescurrently exceed 200 million dollars.

Hospitality Worldwide Services represents the integration of Leonard Parker (LPC),Parker Reorder Online (PRO) and Bekins Distribution Services (BDS) subsidiaries. LeonardParker Company (LPC) was formed in 1969 to provide turn-key purchasing services forowners, developers and operators of hotel properties. In 1989 LPC introduced its reorderdivision which allowed clients to re-supply existing hotels with operating supplies andequipment. In 1995 the reorder division was incorporated as Parker Reorder Company. Inaddition, the company provides logistics and warehousing through its Bekins DistributionServices unit.

The company plans a strategic initiative to focus on its e-Commerce based supply anddistribution business. The plans include the release of its new web portal, integration ofthe Company’s core purchasing and logistics division and the change of theCompany’s name to Hotelworks.com. The new web portal under development will greatlyenhance customer access to the Company’s fulfillment process and has been designed tosubstantially improve the customers’ order process as an ongoing dynamicrelationship, rather than as a series of separate related transactions.

The company is looking for a CEO with the vision to drive the new business. In orderfor the company to achieve its goals, the right leadership must exist at the most seniorlevels of the management team. Therefore, the charter of Chief Executive Officer is toprovide the leadership, management and strategic direction, which will result in thesuccessful achievement of the company's goals. This executive will be responsible for anyand all initiatives and functional areas of the company.

RESPONSIBILITIES
The Chief Executive Officer will hold full P&L and general managementresponsibility. He/She will preside over all company functions and also serve as aDirector, with the mandate to plan for and manage the company to sustained growth,profitability, and market leadership. The desired candidate will possess the demonstratedability to create the long-term strategic vision and "take the corporation to thenext level," thereby substantially increasing shareholder value. He/She willeffectively focus and direct the firm's resources in successfully executing against thisvision, including establishing key company priorities and allocating requisite staff andfinancial resources. This individual is also expected to provide leadership to a team ofaccomplished operating executives and functional officers.

In fulfilling his/her mission, the Chief Executive Officer will work with the Chairmanof the Board in advancing the company’s reputation with customers, business partners,industry analysts, the investment community, press, and other "opinion-setters andmarket-makers." This individual will remain abreast of competition, the company'sspecific strengths and weaknesses, and evolving industry opportunities, and reinforcethroughout the organization the corporate excellence and value-added customer service thatdrives shareholder value.

The Chief Executive Officer will provide daily direction and the necessary leadershipto realize the company's vision of being a leader in the e-commerce hotel supply industry.This individual will also ensure that the management team has the necessary depth toachieve the aforementioned objectives. Finally, the selected candidate will strengthen andmaintain a "can-do", goal-oriented, entrepreneurial environment that rewardsemployee performance, teamwork, and company success.

EXPERIENCE
The successful candidate must possess a minimum of fifteen to twenty years ofprogressive management experience, with five or more as a senior executive, with a proventrack record of both significant top-line growth and sustained bottom-line success in a150 to 500 million dollar company. It is desirable to have an international business focuswith relevant experience in the hotel industry. He/She must also have experience indeveloping e-commerce business.

The candidate must be able to recruit, lead, mentor and motivate a strong seniormanagement team, as well as establish open lines of communication within the organization.This person must have strong strategic vision and conceptual skills, and possess theproven ability to optimally balance long-term goals and plans with short-term executionand results, and to consistently lead the organization to new levels of achievement. Thedesired candidate should have functional strength in marketing, with the ability to"read" evolving markets, and to proactively plan and launch new products andservices required to achieve forecasted performance objectives. This individual must haveexperience interfacing with the investment community, with a reputation as a proven leaderwho can create significant mind-share and a premium valuation for the company. He/She mustbe financially astute, and be able to quickly determine the financial impact of keydecisions and choose wisely among investment opportunities. Additionally, the successfulcandidate must have a strong appreciation for the evolving customer needs in the hotelsupply and e-commerce marketplace.

Personally, the successful candidate will be a strong, charismatic leader who operatesat a high energy level and possesses a strong desire to grow the business, increase itsprofitability, and enhance shareholder value. This individual will be intelligent andanalytical, a disciplined problem-solver and risk-taker with superior communicationskills. He/She must be a tough, resilient general manager who can operate comfortably in ahighly competitive business environment, effectively evaluating different approaches andreact opportunistically, when necessary, to create shareholder value. This person must beable to drive cultural change, building trust and enthusiasm. The CEO will lead by examplerather than edict; empowering those around him/her to implement required operating plansand tactics. Additionally, this person must demonstrate a strong commitment to mentoringand developing subordinates. As such, this person will serve as a catalyst for growth in adecisive, informed manner and effectively delegate through his/her direct reports toconsistently accomplish critical organizational objectives on time and within budget.

COMPENSATION
An attractive compensation package will be offered, comprising base, bonus andequity.
