CLIENT
Our client, MicroCast, was founded in early 1998 to deliver TV video on PCDesktops worldwide through the use of the internet. Through joint venture partners,MicroCast is able to deliver millions of TV shows daily on the internet, allowing clientsto generate significant incremental revenue through its advertising supported network.

REPORTING RELATIONSHIP
Chief Executive Officer

EDUCATION
Undergraduate degree required. An advanced degree is highly desirable.

WORK EXPERIENCE
The successful candidate will be a seasoned, articulate and broad-basedexecutive with a minimum of twelve (12) years of responsibility and an outstanding recordof professional accomplishment. Ideally, this individual will possess a balancedcombination of large corporate, smaller entrepreneurial company, and internet serviceprovider experience. Previous experience working for a multi-national vendor or serviceprovider in a senior technical position is required.

Successful candidates will have experience, including at least three years managinglarge, multi-tiered, client-server, applications development projects from conceptionthrough implementation. He/she must have experience overseeing the development andmaintenance of local-area and wide-area network technology includind broad band andexperience with fiber optic networking. A strong background working with, high volume,high transaction, and VLDB databases using Oracle. Some exposure to video streaming, webdevelopment, and operating systems such as UNIX, LINUX and NT is desirable.

The CTO should have the capability to assess new technologies and determine theirpotential application to our client’s business.

This person must have excellent management and communication skills and the ability towork effectively with clients.

RESPONSIBILITIES
The CTO will be a key member of the executive management team responsible forimplementation of the technical infrastructure and applications architecture. He/She willmanage the architecture and technical support unit providing a leadership role intechnology selection as well as consulting services for application design across a broadrange of development projects. Components will include a database that must be able togrow from 30,000 to over 200,000 terabytes of data, the creation of web applications andapplications for video streaming on the internet, including two patented technologies. Theability to manage relationships with 3rd party hardware and software vendors isrequired.

The CTO will be responsible for building, managing and maintaining a first rate team ofsoftware engineers, quality assurance analysts, business analysts, databaseadministrators, systems analysts, technical writers and network management personnel whoare charged with developing and maintaining these systems as well as other futureprojects. The CTO will assure that all projects are planned, organized and staffed to meetbusiness objectives.

The CTO will also be an integral part of the team whose mission will be to gainacceptance from both the TV Media and Advertiser to utilize these services.

COMPENSATION
Compensation will be commensurate with experience and consist of a base salary,plus bonus opportunity, stock options and an attractive benefits package.
